7. Payment Terms
These Payment Terms apply to purchases you make from ZipIt. However, if you purchase our Services from one of our resellers instead of from us, then that reseller’s payment terms apply to your purchase instead of these Payment Terms. You agree to pay for what you buy
By purchasing a Paid Account, you agree to pay all charges in effect at that time for the Services you buy, along with all applicable taxes and other fees. You authorize ZipIt to charge your Payment Method for your initial purchase, as well as any future purchases and automatic renewals of any Paid Subscription.
If we are unable to charge your Payment Method (for example, because your credit card has expired), you are still responsible for paying us. Except as described under “Termination” below, all fees are non-refundable. All amounts are to be paid in US Dollars or UAE Dirhams unless another currency was specified when you made your purchase.
Automatic renewal and payment of subscriptions:
Most Paid Subscriptions are for an initial period of time, usually a month. At the end of this period, your Paid Subscription will be automatically renewed for the same duration as your initial subscription unless you cancel.
If you do not cancel before the end of your current subscription period, your Paid Subscription will be automatically renewed, you will be responsible for paying for the next subscription period, and you authorize ZipIt to charge your Payment Method at the current, full-price rate for your specific type of Paid Subscription.
A subscription will automatically renew at current prices unless you cancel it.
Cancelling Paid Subscriptions:
You may cancel your Paid Subscription at any time either on our website or by contacting ZipIt customer service. If you cancel before the end of your current monthly or annual subscription period, your subscription will not be renewed. You will not be entitled to a refund of any amount for the remaining time of your current Paid Subscription.
If ZipIt discontinues the Services that you have already paid for, we will give you a proportional refund of that amount for the remaining time in your current subscription period.
Change in authorized amount
The fees applicable to your Paid Account may change in the future. If the amount to be charged to your Account changes (other than due to the imposition or change in the amount of state sales taxes, VAT, or similar taxes and fees), ZipIt will provide you with notice of the change and the new amount to be charged together with the date of the charge at least ten (10) days before the scheduled date of the transaction.
If your account fee changes, we’ll give you 10 days notice.
ZipIt may offer trial subscriptions during which you may use a Paid Subscription for the time period specified in the trial offer (a “Trial Period”) prior to your Payment Method being charged. You will not receive a notice from us that your Trial Period has ended or that your Payment Method will then be charged. Unless you cancel your subscription prior to the end of the Trial Period, your Payment Method will be charged.
Trial subscriptions may not be combined with any other offer unless otherwise provided in the promotional offer. ZipIt reserves the right to restrict who is eligible for trial subscriptions.

10. Cancellation Policy
Subscriptions can be cancelled at anytime. Upon cancellation ZipIt will terminate all subsequent billing. Your ZipIt site will continue to be available for use until the end of your subscription term. Your account will be deleted one day after your end date. Under no circumstances will ZipIt issue refunds for subscription payments.
11. Prohibited Actions
As a condition to your use of the Services, you agree not to:
Share your Account with any other person or entity;
Upload, store, access or transmit any User File: (i) that you do not have the lawful right to copy, transmit, distribute, and display (including any User Files that would violate any confidentiality or fiduciary obligations that you might have with respect to the User Files); (ii) for which you do not have the consent or permission of each identifiable person in the User Files to use the name, voice, signature, photograph, or likeness of each such person (to the extent each is implicated by the User Files); (iii) that infringes or misappropriates the intellectual property rights or violates the privacy rights of any third party (including without limitation, copyright, trademark, patent, trade secret, or other intellectual property right, moral right, or right of publicity); (iv) that is false or misleading; (v) that is defamatory; (vi) that is obscene, pornographic, or offensive; (vii) that promotes bigotry, racism, hatred, or harm against any individual or group; or (viii) that violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability;
Access, tamper with, or use any non-public areas of the Services or ZipIt’s computer systems, or the technical delivery systems of ZipIt or its providers;
Attempt to probe, scan, or test the vulnerability of the Services, or any related system, or network, or breach any security or authentication measures used in connection with the Services and such systems and networks;
Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Services;
Harm or threaten to harm other users in any way, or interfere with, or attempt to interfere with, the access of any user, host or network, including without limitation, by sending a virus, overloading, flooding, spamming, or mail-bombing the Services;
Send unsolicited email, junk mail, spam, chain letters, promotions, or advertisements for products or services;
Impersonate or misrepresent your affiliation with any person or entity;
Violate any applicable law or regulation; or
Encourage or enable any other individual to do any of the foregoing.
Don’t do any of these bad things, including sharing illegal material, hacking us, or sending spam.
ZipIt has the right to investigate and prosecute violations of any of the above, including without limitation, possible infringement of any intellectual property rights and possible security breaches to the fullest extent of the law. ZipIt may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms. You acknowledge that, although ZipIt has no obligation to monitor your access to or use of the Services, it has the right to do so for the purposes of operating the Services, to ensure your compliance with these Terms, or to comply with applicable law, or the order or other requirement of a court, administrative agency, or other governmental body.
ZipIt reserves the right at all times to disclose, in its sole discretion, any User Files as necessary to (a) satisfy any law, regulation, or governmental request, or (b) reduce or prevent what ZipIt considers to be, in its sole discretion, a serious or imminent threat to your health or safety, or the health or safety of another.
In appropriate circumstances, ZipIt may in its discretion terminate the Accounts and/or delete the User Files of users who are, or are believed to be or are charged with, infringing or violating the intellectual property rights of third parties, any applicable law or regulation, or otherwise in violation of the “things you may not do” listed above.
13. Fees and Payments
The fees applicable for the Service (“Fees“) are available on the Site and/or in ZipIt’s then-current published price list. The price stated for the Service excludes all taxes and charges, unless stated otherwise. You’re responsible for any taxes and for all other charges incidental to using the Services (for example, data charges and currency exchange settlements). You will pay the Fees in the currency ZipIt quoted for your account. ZipIt reserves the right to change the quoted currency at any time.
We’ll notify you in advance, either through the Service or to the email address you have most recently provided to us, if we change the price of the Service. If there’s a specific length and price for your Service offer already in effect, that price will remain in force for that time. After the offer period ends, your use of the Service will be charged at the then-current price. If your Service is on a period basis (for example, monthly) with no specific length, we’ll notify you of any price change at least 30 days in advance. If you don’t agree to these changes, you must cancel and stop using the Service via a phone call to 04-374-6220 with cancellation confirmation from a ZipIt representative) no later than three (3) business days prior to the conclusion of your current payment term. If you cancel, your Service ends at the end of your current Service period or payment period. If you fail to cancel in accordance with these Terms, we will automatically renew the Service at the then-current price and for the same subscription period and will charge your credit card on file with us commencing on the first day of the renewal of the subscription period.
You must be authorized to use the credit card that you enter when you create a billing account. You authorize us to charge you for the Service using your credit card and for any paid feature of the Service that you choose to sign up for or use while these Terms are in force. We may bill: (a) in advance; (b) at the time of purchase; (c) shortly after purchase; or (d) on a recurring basis for subscription Services. Also, we may charge you up to the amount you’ve approved, and we’ll notify you in advance of the difference for recurring subscription Services. We may bill you simultaneously for more than one of your prior billing periods. We may automatically renew your Service and charge you for any renewal term. All paid accounts are due the date the invoice is posted on your account. Except as specifically set forth in this section, all Services are prepaid for the period selected (monthly) and are non-refundable. This includes accounts that are renewed.
You must keep all information in your billing account current. You can access and modify your billing account information using the on the Site. You may change your payment method at any time. If you tell us to stop using your payment method and we no longer receive payment from you for the paid Service, we may cancel that Service. Your notice to us will not affect charges we submit to your billing account before we reasonably could act on your request.
Except as prohibited by law, we may assess a late charge if you do not pay on time. You must pay these late charges when we bill you for them. The late charge will be the lesser of 1 percent of the unpaid amount each month or the maximum rate permitted by law. We may use a third party to collect past due amounts. You must pay for all reasonable costs we incur to collect any past due amounts, including reasonable attorneys’ fees and other legal fees and costs. We may suspend or cancel your Service if you fail to pay in full on time.
If you are currently on our free 14-day trial, you may cancel or downgrade your account, free of charge, at any time until fourteen (14) days after your account was created. (The day of creation constitutes the first day of the 14-day trial.)
The last day of the 14-day trial signifies the due date of the first payment. If payment is not received by ZipIt on the due date, user’s account will be frozen, inaccessible, and all shared links will be turned off until all outstanding payments have been processed by ZipIt. Users retain the responsibility for settling all outstanding balances in a timely manner and maintaining updated billing information. If not complied with, at the end of 90 days, user’s account will be deactivated and all files will no longer be retrievable.
Unless we notify you otherwise, if you’re participating in any trial period offer, you must cancel the Service by the end of the trial period to avoid incurring charges. If you do not cancel your Service and we have told you the Service will convert to a paid subscription at the end of the trial period, you authorize us to charge your credit card for the Service and no credits or refunds will be available. You may, however, cancel your subscription before the next billing in accordance with the terms of this Agreement.
If you are a paid non-trial user you will not be issued a refund for your most recent (or any previous) billing, unless you are on a NON-TRIAL Annual Subscription Plan, in which event you may obtain a refund for a renewal fee only if you request the refund within thirty (30) days of the day on which you were charged for the renewal of your account; and in such an event, only a partial refund equivalent to 80% of the annual renewal fee will be returned
14. Subscription Period
You may elect one of the following subscription plans and billing options:
A monthly subscription plan (“Monthly Subscription Plan”). The subscription period for the Monthly Subscription Plan will be one month and will automatically renew unless you cancel your Monthly Subscription Plan in accordance with these Terms at least three (3) business days prior to the renewal date. You will be billed monthly for the Monthly Subscription Plan on or about the same day each month until such time that you cancel your Monthly Subscription Plan.
